The Mandate 

Artha Group invites proposals from distinguished firms to serve as our Corporate Secretarial Services Partner. We seek a partner who combines precision with foresight — ensuring not only flawless compliance with the Companies Act, LLP Act, FEMA, and allied regulations, but also offering strategic counsel to elevate our governance practices. 

The chosen partner will work in close alignment with Artha’s leadership, legal, and operations teams to orchestrate statutory filings, Board and Partner documentation, and governance frameworks with unmatched efficiency and sophistication. 

We envision this as more than a service engagement — it is a collaborative partnership with an institution shaping the future of investment and renewable innovation in India. 

Scope of Work 

The Corporate Secretarial Services Partner will provide comprehensive, end-to-end governance and compliance solutions, ensuring absolute adherence to statutory timelines and best practices. Key responsibilities include but are not limited to: 

  1. A) For Companies
  • Statutory Filing & MCA Compliance: Timely preparation and filing of all prescribed forms (MGT-7/MGT-7A, AOC-4, MGT-14, ADT-1, DIR-12, MSME, DPT-3, etc.), including XBRL filings where applicable. 
  • Board & Committee Meetings: Drafting notices, agendas, resolutions, and detailed minutes. 
  • Shareholders’ Meetings: Preparation of all requisite notices, resolutions, reports, and supporting documentation for AGMs and EGMs. 
  • Director & KMP Compliance: Filing DIR-3 KYC, monitoring MBP-1 and DIR-8, and maintaining up-to-date disclosures. 
  • Statutory Registers & Records: Maintaining comprehensive registers (Members, Directors, Charges, Contracts, Investments, Debentures), share-related documentation, and facilitating dematerialization where applicable. 
  1. B) For LLPs
  • MCA Compliance: Preparation and timely filing of statutory returns and forms (Form-8, Form-11, Form-3, Form-4, etc.). 
  • Partners’ Meetings: Drafting notices, agendas, resolutions, and minutes. 
  • KMP Compliance: Annual DIR-3 KYC filings and related disclosures. 
  • Registers & Records: Full maintenance of all statutory records. 
  1. C) Others
  • Vetting & Review: Expert review of secretarial documents, resolutions, and forms. 
  • FEMA & RBI Compliance: Filing FC-GPR, FC-TRS, SMF Portal forms, FLA Returns, and ODI filings, along with continuous advisory on applicable provisions. 
  • Advisory & Legal Updates: Regular insights on Companies Act, LLP Act, FEMA, SEBI, and related regulations; updates on circulars and amendments; and proactive guidance on compliance calendars. 
  • Onsite Support: Periodic onsite visits, records review, and in-person support during Board, Committee, or Shareholder meetings.
